Public offer (Terms of Service)

1. General provisions

This document is a public offer by Individual Entrepreneur KHAMDAMOV IKROMJON KOBILOVICH, Republic of Uzbekistan, individual entrepreneur (YaTT) registration No. 7999753 of 9 September 2026, taxpayer ID (TIN / PINFL) 31101986180053 (the “Seller”) to enter into an agreement for access to the CARO service on the terms below (the “Agreement”).

The CARO service (the “Service”) is an online service for creating social media content with artificial intelligence. The Service works in Telegram: the bot @Ferz_aibot (named FERZ AI in Telegram) and its mini app. The Service's website is ferzmedia.app.

The User accepts the Agreement in full and without reservations when they start using the Service — open the mini app or write to the bot — or pay for a credit package. Before a payment the Service shows the current version of the Agreement and of the Privacy Policy; in the mini app a payment starts only after the User ticks their consent to them.

The Agreement is concluded electronically and remains in force until either party ends it. The User may end it at any time by deleting the account: Settings → Security and sign-in → Delete account.

2. Definitions

• User — a person aged 18 or over who has accepted the Agreement.
• Account — the User's account in the Service, linked to their Telegram account.
• Credits — the Service's internal units of account used to pay for actions. Face value: 1 credit = 1 Russian ruble; when paying with a foreign card, USD 0.012.
• Package — a fixed number of credits the User buys for a fee.
• Action — a function of the Service for which credits are charged: creating a carousel, text, image, video carousel or content plan, an assistant reply and others.
• Result — content created by the Service at the User's request.

3. Subject of the Agreement

The Seller gives the User access to the functions of the Service, and the User pays for actions with credits. The functions of the Service:

• social media carousels of up to 20 slides (1080×1350) with copy and design, including the User's own photos; text preview, a manual editor, versions, PNG and ZIP export;
• texts, posts, captions, translations and edits in an AI chat;
• AI-generated images, including ones based on the User's photos;
• video carousels — 1–2 minute videos with a voice-over (the function is being rolled out gradually and may not be available to every user);
• content plans of 1–20 posts with sources, and schedules that deliver finished materials to Telegram;
• an assistant in the chat with the Telegram bot, including voice messages and voice replies.

The service is provided online; no physical media or goods are delivered. The set of functions may change, and some functions may open to users gradually.

4. Account and age

Sign-in to the Service is through Telegram: Telegram passes the User's profile data (ID, name, username, language) to the Service, and the account is created automatically.

The Service is intended only for persons aged 18 or over. By accepting the Agreement the User confirms that they are at least 18 years old.

The User is responsible for keeping access to their Telegram account safe and for actions taken through it. The account may not be handed over to third parties.

5. Credits and prices

Packages and their prices are published on the home page and in the mini app. Current packages:

• Face value: 1 credit = 1 ₽; when paying with a foreign card, $0.012 per credit (1,000 credits = $12).
• Credits are added to the account balance right after the payment service confirms the payment.
• Generations in the mini app (carousels, images, content plans, edits, video carousels): the price in credits is shown before the start, and the generation starts after the User confirms it. While it runs, the credits are reserved; after a successful result the confirmed price is charged and the unused part of the reserve is returned. A confirmed price never increases after the start.
• An assistant reply in a chat — in the mini app and in the chat with the Telegram bot (including voice) — costs 2 credits, without confirming each message; the credits are reserved while it is made and returned if the reply fails.
• The conversation with the assistant in a carousel chat of the mini app, and carousels and edits ordered in the bot chat, are charged by actual usage: the cost of the AI resources used plus the Service's markup is charged, but never more than the amount reserved before the action. In the bot chat, charges are counted to a hundredth of a credit.
• A carousel ordered in the bot chat is started at once, with its approximate price, if that price is within the confirmation threshold (currently 300 credits); above it the assistant asks for consent first. The assistant's spending has a daily limit, which the User can lift by asking the assistant.
• Schedules: for each schedule the User chooses whether every run needs approval (in the mini app's schedule form approval is off by default). Without approval, runs are carried out and charged automatically within the limits set in the schedule; with approval, credits are reserved only after the User agrees.
• Validity: credits from the packages listed above never expire. If a package has a validity period, it is shown on the package card before payment.
• Starter credits: on the first sign-in through Telegram an account receives 100 starter credits once; they are promotional credits. Promotional credits (starter credits and promo codes) never expire and pay for any action of the Service, video carousels included, just like purchased ones.
• Credits are not money, electronic money or securities, have no monetary value outside the Service, cannot be transferred to other users and are not exchanged for money, except as stated in the Refunds section.

6. Payment

Packages are paid for with Visa, Mastercard and MIR bank cards through the IntellectMoney payment service on its secure page. Prices are in rubles; for payment with foreign cards, in US dollars.

The Seller does not receive or store the card number or other payment data — the payment service processes them. From the payment service the Seller receives the order and the payment result: order number, amount, currency and status.

A payment is made once the payment service confirms it. Bank fees and conversion rates, if any, are set by the User's bank.

7. Refunds

Money paid for credits is not refunded and credits are not exchanged for money, except in cases expressly provided for by applicable law (for example, a double charge, or a payment that went through while the credits were not added — then we add the credits or refund the payment).

Credits returned after failures. If a generation fails for a technical reason, the credits reserved for it return to the balance automatically; if a finished carousel lacks some of its planned background images, the share of the price of those images is returned. An assistant reply that was not received because of a failure is not charged.

Exceptions: if the User stops a generation that has already started, the completed part is charged at actual cost plus the Service's markup (never more than the reserve). If a result was created but could not be delivered to the Telegram chat, it remains available in the mini app and is charged.

To request a refund in the cases provided for by law, write to support@ferzmedia.app with the order number, the date and the amount of the payment. We answer within 10 working days. Money is returned through the payment service to the card used for the payment; the time it takes depends on the bank.

When a payment is refunded, the credits bought with it are deducted from the balance in proportion to the refunded amount. If they have already been spent, a debt arises and access to the account is suspended until it is settled. The same applies when the payment is disputed with the bank (a chargeback).

8. Results and artificial intelligence

Results are created automatically by artificial intelligence models and may contain errors, inaccuracies and outdated information. When search was used, the Service shows its sources but does not guarantee their accuracy. The User checks a Result before publishing it and is solely responsible for what they publish.

To the extent permitted by applicable law, the rights to a Result belong to the User; the User may use Results, including for commercial purposes. The Seller claims no rights to Results and processes them only to provide the service: storage, display, export and delivery to Telegram. The Seller does not guarantee that a Result is protected by copyright or that a similar result will not be created for another user.

By uploading texts, photos, logos and other materials, the User confirms they have the right to use them and allows the Seller to process them to provide the service, including passing them to AI providers (see the Privacy Policy).

The Service does not give personal medical, legal or financial recommendations (a diagnosis, a dosage, a decision on a deal or an investment); such information is general and does not replace a specialist's advice.

9. Prohibited use

The Service must not be used to create or distribute:

• explicit (pornographic) content;
• sexual content involving minors;
• abuse, harassment and incitement to violence;
• graphic violence;
• materials on politics and war;
• deliberately fabricated claims presented as facts;
• phishing and materials for stealing access to accounts;
• malware;
• fraudulent materials;
• instructions for dangerous unlawful acts;
• materials that infringe third-party rights (copyright, the right to one's image) or the law.

Requests that break these rules are not carried out, and no credits are charged for them. For the first violation the User receives a warning; after a repeated one, creating new materials is blocked until the Service's administration reviews it, while the balance, files and support remain available.

The Seller may suspend or end access to an account if the Agreement is breached, if a debt remains after a refund, or if a payment is disputed.

10. Liability

The Service is provided “as is” and “as available”. The Seller makes reasonable efforts to keep it running but does not guarantee uninterrupted operation: maintenance breaks and failures at Telegram, AI providers, hosting and the payment service are possible.

The Seller is not liable for the content of Results or the consequences of publishing and using them, for lost profits and indirect losses, for actions and failures of third parties, or for restrictions imposed by social networks.

The Seller's total liability to the User is limited to the amount the User actually paid the Seller for credits during the three months before the event giving rise to the claim.

Force majeure: the parties are not liable for failing to perform obligations because of circumstances beyond their control — natural disasters, hostilities, decisions of public authorities, large-scale failures of communication networks and infrastructure.

The limits of this section do not apply where they contradict mandatory rules of law (see “Governing law and claims”).

11. Personal data

The Seller processes the User's personal data in accordance with the Privacy Policy.

12. Changes to the terms

The Seller may change the Agreement. A new version is published on this page with its version number and date and applies from publication unless it states otherwise. Before a payment the Service shows the current version.

If the User does not agree with a new version, they may stop using the Service and delete the account; continued use means consent. Credits on the balance are kept when the terms change.

Package and action prices may change; a change does not affect packages already paid for or generations already confirmed.

13. Governing law and claims

The Agreement is governed by the law of the Republic of Uzbekistan. This does not deprive the User of the protection granted by the mandatory consumer protection rules of their country of residence.

Claims are sent to support@ferzmedia.app; the Seller answers within 10 working days. Disputes not settled through a claim are heard by the court at the Seller's location, unless mandatory rules of law provide otherwise.
